Terms of Service

1. About these terms
These terms form a contract between you (the "Customer") and PicQuote Ltd (in formation) [CONFIRM — replace with final registered company name once incorporated], a company to be registered in England and Wales (company number [CONFIRM]), registered office at [CONFIRM] ("PicQuote", "we", "us", "our").
By subscribing to PicQuote you agree to these terms. If you do not agree, do not subscribe.
These terms apply to business customers only. PicQuote is not sold to consumers and is not a consumer service.
2. The service
PicQuote is a hosted software-as-a-service product. For a monthly or annual fee we provide:
- A branded subdomain (for example yourbusiness.picquote.co.uk) on which your end-customers can upload a photo of a driveway, roof or patio and see a computer-generated mockup of what it could look like after cleaning.
- A monthly allowance of mockup generations as set out on the pricing page applicable to your tier.
- Lead capture & delivery: each completed enquiry is emailed to the address you configure, with a WhatsApp reply link and the original and generated images attached.
- Additional features as advertised on the pricing page for your tier at the time of subscription (e.g. QR-code leaflet generator on Pro and Max, custom domain support on Max).
3. Account, subscription and payment
- Subscriptions are billed in advance via Stripe, monthly or annually as you select. Annual subscriptions receive a 20% discount versus the equivalent 12 months of monthly billing.
- All prices are in GBP and exclude VAT unless stated otherwise. Where VAT applies it will be added to your invoice.
- You authorise Stripe to charge your nominated payment method automatically on each renewal until you cancel.
- You can cancel at any time from the customer portal. Monthly subscriptions end at the end of the current billing month with no further charge. Annual subscriptions, if cancelled before their renewal date, are refunded pro rata for any unused full calendar months remaining.
- We may change prices for future billing periods on at least 30 days' notice by email to the address on your account. The new price applies from your next renewal. If you do not accept the new price you may cancel without further charge before it takes effect.
- If a payment fails, Stripe will retry automatically. If payment remains outstanding after 7 days we may suspend your subdomain until the account is brought back into good standing. After 30 days of non-payment we may terminate the subscription and delete your account data.
4. 30-day money-back guarantee
We offer a 30-day money-back guarantee on your first subscription with PicQuote. If within 30 days of your first subscription payment you decide PicQuote is not helping you convert more enquiries, email us at hello@picquote.co.uk and we will refund 100% of the fees you have paid us under that subscription. No questions asked.
- The guarantee applies to your first subscription only (one per customer). It does not apply to renewals or to additional subscriptions you may take out later.
- Refunds are processed via Stripe back to the original payment method, typically within 5 to 10 working days.
- On refund your subdomain is taken offline and any associated data is deleted in line with our Privacy Policy.
- After the 30-day guarantee window, the standard cancellation and pro-rata refund terms in section 3 apply.
5. Usage limits and overages
- Each tier includes a monthly mockup-generation allowance shown on the pricing page. The counter resets on each renewal date.
- When you reach your monthly limit, end-customers visiting your subdomain will see a polite "currently taking a break" message until the next renewal or until you upgrade to a higher tier. We do not auto-charge for overages.
- Upgrading mid-cycle gives you the higher tier's limit immediately. Stripe pro-rates the price difference. Downgrading takes effect at the next renewal so you do not lose the generations you have already paid for.
6. Acceptable use
You agree not to:
- Resell, sublicense, or otherwise make the service available to anyone other than your own business (the subscription is for one surface-cleaning operator; if you operate multiple distinct businesses, each needs its own subscription).
- Use the service to generate, host or transmit any content that is unlawful, defamatory, sexually explicit, or that infringes anyone's intellectual property, privacy or other rights.
- Attempt to circumvent the monthly generation limit, the rate limits on the API, or any security feature of the service.
- Reverse engineer, scrape, mirror, or otherwise attempt to extract the underlying source code, model weights, or trade secrets of the service.
- Use the service to send unsolicited marketing communications in violation of PECR 2003 or UK GDPR.
We may suspend or terminate your account immediately if we reasonably believe you have materially breached this section.
7. Your end-customers (data protection)
When end-customers submit photos and contact details on your subdomain, you are the data controller for that personal data and PicQuote acts as your data processor. Our Privacy Policy describes the processor arrangement in detail; together with these terms it forms our Data Processing Agreement (DPA) with you.
You confirm that you have or will obtain all consents required under UK GDPR and PECR before using the leads we deliver to contact your end-customers, and you indemnify us against any third-party claim arising from your misuse of those leads.
8. The mockup is illustrative, not a promise
The after-image generated by the service is a computer-generated approximation produced by a third-party AI model. It is intended to give the end-customer a rough visual sense of what the property could look like after professional cleaning. Real-world results depend on the actual surface, the level of soiling, the equipment and chemicals used, weather, and the operator's skill.
We make no warranty that real-world cleaning results will match the mockup. You are responsible for managing your end-customer's expectations and for the quality of any work you carry out.
9. Intellectual property
- Your content stays yours. You retain ownership of your business name, logo, branding, and the lead data your end-customers submit.
- You grant us a non-exclusive, royalty-free licence to host, display and process your content solely as needed to operate the service for you.
- The platform stays ours. PicQuote, the picquote.co.uk domain, the software, the prompts, and all associated trademarks and trade dress remain our property. No licence is granted except the right to use the service in line with these terms during your subscription.
- Generated mockups. Each mockup is generated for your end-customer. You and they may use it in connection with the quote and any resulting work. We retain the right to use mockups in anonymised, aggregated form to improve the service.
10. Service availability
We aim to keep the service available 24/7 and target 99.5% monthly uptime, but we do not guarantee uninterrupted availability. Planned maintenance will be announced in advance where reasonably possible. Where the service is unavailable for an extended period due solely to our fault, please contact us and we will make a reasonable service credit.
11. Warranties and limitations
We provide the service with reasonable skill and care. To the maximum extent permitted by law, all other warranties, conditions and representations (whether express, implied, statutory or otherwise) are excluded, including any implied warranty of satisfactory quality, fitness for a particular purpose, or non-infringement.
We do not warrant that the service will be uninterrupted, error- free, or free of harmful components, or that defects will be corrected.
12. Liability
Nothing in these terms excludes or limits our liability for:
- death or personal injury caused by our negligence;
- fraud or fraudulent misrepresentation;
- any other liability that cannot lawfully be excluded or limited.
Subject to the paragraph above, and to the maximum extent permitted by law:
- We are not liable for any loss of profit, loss of business, loss of opportunity, loss of anticipated savings, loss of goodwill, loss or corruption of data, or any indirect or consequential loss.
- We are not liable for the acts, omissions or work performed (or not performed) by you or by any end-customer who contacts you through the service.
- We are not liable for any inaccuracy, unrealism or unintended output of the AI mockup, the AI provider, or any other sub-processor listed in our Privacy Policy.
- Our total aggregate liability to you under or in connection with these terms, whether in contract, tort (including negligence), under statute or otherwise, in respect of any one or more claims arising in any 12-month period, is limited to the greater of (a) £1,000 and (b) the total fees you paid us under your subscription in the 12 months immediately before the first event giving rise to the claim.
13. Insurance
You confirm that you maintain appropriate public liability insurance for the surface-cleaning work you carry out for your end-customers, and that PicQuote is not responsible for the adequacy of your insurance cover.
14. Suspension and termination
- Either party may terminate the subscription at any time as set out in section 3 (Account, subscription and payment).
- We may suspend or terminate the service immediately if you materially breach these terms, become insolvent, or if we are required to by law.
- On termination, your access to your subdomain ends and your end-customer-facing site is taken offline. We will retain your account and lead data for 30 days to allow you to export it, after which it will be deleted in accordance with our Privacy Policy.
15. Confidentiality
Each party will treat the other's non-public business and technical information as confidential and use it only as needed to perform under these terms. This obligation does not apply to information that is public through no fault of the receiving party, was already known, is independently developed, or must be disclosed by law.
16. Changes to these terms
We may update these terms from time to time. The "last updated" date at the top of this page will change, and for material changes we will email subscribers at least 30 days before the new terms take effect. If you do not accept the new terms you may cancel without further charge before they apply.
17. General
- Entire agreement. These terms and the documents they reference (Privacy Policy, pricing page applicable to your tier) form the entire agreement between us regarding the service and supersede any prior discussion or representation.
- No partnership. Nothing in these terms creates a partnership, joint venture, employer-employee or agency relationship between us.
- Third parties. No one other than you and us has any rights under these terms, and the Contracts (Rights of Third Parties) Act 1999 does not apply.
- Severability. If any part of these terms is held unenforceable, the rest remains in force.
- Assignment. You may not assign or transfer your subscription without our written consent. We may assign these terms to a successor in connection with a sale or reorganisation of our business.
18. Governing law and jurisdiction
These terms are governed by the laws of England and Wales. Any dispute is subject to the exclusive jurisdiction of the courts of England and Wales.
